*Case Study 1*
Alpha Private Limited has exactly 190 members as of March 31, 2026. The company wants to raise capital and expand its operations. To achieve this, the Board of Directors proposes a scheme that involves the following transactions in April 2026:
1. They allot shares to 15 current employees under an Employee Stock Option Plan (ESOP).
2. They allot shares to 5 former employees who acquired these shares while they were employed with the company and continue to hold them.
3. They allot shares to 8 other former employees who were not shareholders during their employment but were gifted shares by the promoters 6 months after they resigned.
4. The company accepts a dynamic equity investment from a startup incubator, allotting shares jointly to 4 independent angel investors (held as Joint Holders for a single block of shares).
*ISSUE INVOLVED*
The rival group of shareholders claims that Alpha Private Limited has breached the maximum limit of 200 members prescribed under Section 2(68)(ii) and should automatically be treated as a public company.
Analyze the provisions of Section 2(68) of the Companies Act, 2013, calculate the legal number of members for the purpose of the statutory cap, and determine whether the rival shareholders' claim is legally tenable.
