💡 Filial (Branch) vs. Empresa Controlada (Controlled company): Which Pays Less in Taxes in Brazil?

Thinking of investing in Brazil? 🤔 You have two main options: you can open a Filial (a branch of your foreign company) or start an Empresa Controlada (a new company controlled by you from another country). 🌍

Here’s the BIG difference when it comes to taxes:

👉 Filial: You’ll often pay taxes twice – once in Brazil 🇧🇷 and again in your home country. 😬 Double the taxes, double the cost!

👉 Empresa Controlada: You’ll only pay taxes once, in Brazil! 🇧🇷 That means less taxes and more money in your pocket! 💰

In our last video, we talked about the enforcement of foreign decisions in Brazil. This is a way to make decisions valid in Brazil and is applicable to several cases. Actually I would do whatever it takes to avoid it if I was a foreign entrepreneur. Why? It is a slow process, and executing those decisions can be just as time-consuming 📽️🏛️. Now, let’s dive deeper into the risks of picking the wrong law and forum in a contract ⚖️✍️:


Unpredictable Legal Outcomes 🌐📜: Even if a contract specifies foreign law, Brazilian courts may still apply Brazilian law, leading to unexpected interpretations. This can put you at a disadvantage when the rules you expected to apply aren't used.

Slow and Inefficient Dispute Resolution ⏳💸: Brazilian courts are known for being slow and bureaucratic. Choosing Brazil as the forum could mean years of waiting, costing both time and money.

Conflicting Judgments ⚖️🔄: Brazil doesn't recognize international lis pendens (Article 90, CPC/15), meaning disputes can be litigated in multiple countries simultaneously, leading to contradictory judgments and a legal mess that's hard to untangle.

Bias Towards Local Laws and Parties 📑🇧🇷: Brazilian courts often favor local laws and may protect local parties like consumers or employees, even if your contract sets different terms. This bias can work against foreign companies.

Complicated Enforcement of Foreign Judgments 🏛️🚫: Winning a case abroad but enforcing it in Brazil is a complex process. Brazilian courts require a special approval (homologation), delaying enforcement and creating extra legal hurdles.
