A Costly Mistake Every Business Owner Should Avoid



A few months ago, I got a call from one of my clients. He sounded stressed and said, “Bala, I need your help.”



My client runs a textile business in Tiruppur and shared a serious problem with me.



For three years, he worked with a freelancer to develop a custom ERP system for his business.

Things were fine—until the freelancer got a better job and left. Even though my client had paid the freelancer in full, the freelancer refused to hand over the complete source code.



Why? The freelancer claimed that parts of the code were his "proprietary" property.



It was shocking. Imagine building a house, paying the contractor fully, and then hearing them say, "I designed the living room, so it’s mine—you can’t use it." Sounds crazy, right? But this was exactly what my client was facing.



To make things worse, the freelancer had encrypted the code. My client was left with just the build file on the server—not the original source code needed to make updates or fixes. Since the system was built with React and Node.js, starting from scratch was the only option.



The cost of rebuilding? 11,727 USD + 6 months of additional effort.



This mistake cost my client dearly, but it can be avoided. Here’s what every business owner should do:



1️⃣ Get full access to your source code. Make sure it’s in your agreement with the developer or vendor.

2️⃣ Choose trusted vendors for critical projects. A reliable team is better than depending on a single person.

3️⃣ Protect your investment. What you pay for should belong to you completely.
