Trademark Rights Beyond Registration: Why Nigeria’s Laws Protect Established Businesses Like BLORD Against Bad-Faith Filings, The VDM-BLORD Case Explained.

In the ongoing public dispute between activist Martins Vincent Otse (VDM) and businessman Linus Williams Ifejirika (BLORD of Blord Group), VDM filed trademark applications for “BLORD” across 43 classes after years of BLORD’s established global use in crypto, gadgets, real estate, and electric vehicles. Many observers mistakenly believe trademark protection begins and ends with registration. This is incorrect. Nigerian law, aligned with international standards, strongly safeguards businesses with prior use, goodwill, and public recognition, preventing others from hijacking well-known marks through retaliatory or bad-faith applications.
Here are the key legal principles and provisions that make such filings unenforceable against established owners:
1️⃣. Section 3 of the Trade Marks Act (Cap T13 LFN 2004).
👉 No one can sue for infringement of an unregistered mark, but the Act explicitly preserves the common-law right to sue for **passing off**. BLORD’s long-standing reputation and global transactions create protectable goodwill that VDM cannot override.
2️⃣. Section 7 of the Trade Marks Act. 👉 Saving for Vested Rights (Prior Continuous Use).
A registered proprietor cannot interfere with any person who has continuously used an identical or similar mark before the proprietor’s own use or registration date. BLORD’s years of open commercial use pre-date VDM’s filings, granting BLORD indefeasible prior rights.
3️⃣. Section 11 of the Trade Marks Act. 👉 Deceptive or Scandalous Matter.
It is unlawful to register any matter likely to deceive or cause confusion, or that would be disentitled to protection in a court of justice. Courts interpret this to bar bad-faith applications aimed at blocking an existing business.
4️⃣. Section 13 of the Trade Marks Act. 👉 Identical or Resembling Mark's.
No mark may be registered if it is identical or so nearly resembles an earlier mark on the register (or with established prior rights) as to likely deceive or cause confusion. This relative ground directly blocks VDM’s multi-class filings.
5️⃣ Section 38 of the Trade Marks Act. 👉 Rectification of the Register.
Any person may apply to court or the Registrar to expunge an entry made “without sufficient cause,” wrongly remaining, or obtained by fraud. Bad-faith squatting qualifies for immediate cancellation.
6️⃣ Section 14 of the Trade Marks Act, 👉Conclusive Validity After Seven Years.
Even after seven years, Part A registration remains invalid if obtained by fraud or if it offends Section 11. This ensures bad-faith registrations never become unassailable.
7️⃣ Paris Convention for the Protection of Industrial Property (Article 6bis), 👉Well-Known Marks.
Nigeria, as a member state since 1963, must protect “well-known” marks against registration or use that would cause confusion, even without local registration. BLORD’s global recognition qualifies it for this enhanced protection.
8️⃣ Common-Law Doctrine of Passing Off (preserved by Section 3).
👉 To succeed, the owner need only prove: (i) goodwill/reputation, (ii) misrepresentation by the defendant, and (iii) damage. BLORD’s established public presence satisfies all three elements against any attempt by VDM to trade under “BLORD.”
9️⃣ Precedent American Cyanamid Co. v. Vitality Pharmaceuticals Ltd (Supreme Court of Nigeria)
👉 The apex court ruled that continuous prior use overrides a later registration. Prior goodwill defeats subsequent filings, exactly as in the BLORD scenario.
🔟 Trademark Malpractices (Miscellaneous Offences) Act (Cap T12 LFN 2004).
👉 Criminalises false application of marks or deceptive use. Bad-faith filings that mislead the public or harass legitimate businesses can attract prosecution.

Trademark ™ is not merely a registration race. Nigeria’s legal framework, rooted in the Trade Marks Act, common law, and international treaties, prioritises truth, prior use, goodwill, and prevention of unfair competition. An application at the “acceptance” stage (as VDM’s currently is) creates no ownership and remains open to opposition, invalidation, and passing-off suits.
Businesses with public recognition and global transactions, like BLORD, are robustly protected. Registration strengthens rights—but it never extinguishes the superior rights of genuine prior users.
