Have you ever wondered why most legal documents in India begin with the words “That” or “Whereas”?

It’s not just jargon – it’s history. ⚖️

👉 “That” is commonly used in pleadings, petitions, and affidavits. Every paragraph begins with “That” to present facts in a formal, continuous narrative.
👉 “Whereas” is used in contracts and agreements to set out the background and intent of the parties before the operative clauses begin.

But why this style?
This tradition comes from our colonial legal heritage, where drafting styles were borrowed from old English legal documents. Even today, despite the push towards plain language, many lawyers and courts still prefer these age-old formats because they bring consistency and recognition.
(And, yes we all are doing this even today- including me).

In simple terms:
That = I state this as a fact.
Whereas = Because of this reason.


đź’ˇ Interestingly, modern drafting trends are moving towards clearer, plain English. But law, being a conservative profession, holds on tightly to its traditions.

So next time you come across a contract or a petition starting with “That” or “Whereas”, you’ll know it’s not just a word – it’s a legacy.
